A large team from across Bristol-based law firm Burges Salmon and the city office of accountants Smith & Williamson has advised long-standing client Michelmersh Brick Holdings, the UK’s biggest brick manufacturer, on its acquisition of a major regional player in the industry.
The Burges Salmon team, led by corporate partner Dominic Davis and associate Peter Dunn, handled all legal aspects of the £31m takeover of Carlton Main Brickworks, a highly respected regional brick manufacturer operating from a 93-acre brickwork site in Yorkshire.
Smith & Williamson partner David Roper and his team advised Michelmersh on the financial aspects of the deal, which is expected to increase the group’s output to 100 million bricks a year.
David, pictured below, said: “Our work included preparing a detailed report on Carlton’s financial position for Michelmersh and HSBC, working closely with both parties to secure the funding needed to help get this deal over the line.
“This is a great acquisition for Michelmersh and marks another exciting chapter in the company’s growth. We’ve worked closely with Michelmersh for many years and look forward to continuing to be part of their journey.”
Michelmersh finance director Steve Morgan said: “This was a long-running transaction and we are very grateful to Dom, Pete and the entire Burges Salmon team for their support throughout the deal and for helping us complete this important strategic step forward in our growth.”
He said Carlton’s manufacturing output and strong product offering complemented Michelmersh’s geography and market segment.
Dominic Davis said: “We are delighted to have been able to support our long-standing client Michelmersh on this significant transaction and we have thoroughly enjoyed working with the Michelmersh team once again.
“The acquisition is an important strategic step forward for the company, which will add significant scale, output and earnings to its group.”
Michelmersh owns five market-leading brick brands – Blockleys, Charnwood, Fresh field Lane, Michelmersh and Hathern Terra Cotta.
